1.  Eligibility: To be eligible to win a Prize in the G-Force Grand-Slam Sweepstakes (the "Sweepstakes"), an entrant must, at the time of entry: (1) be a legal resident of the fifty (50) United States (including the District of Columbia) or Canada (excluding Quebec); (2) be a registered member (“Member”) of www.disney.com (“Website”) in compliance with Website’s terms of use agreement, which can be viewed by clicking on the “Terms of Use” link on Website or visiting http://disney.go.com/corporate/legal/terms.html; (3) be among the first one million (1,000,000) persons to enter the Sweepstakes; and (4) not be an employee of Major League Baseball Properties, Inc. (“MLB”), Major League Baseball Enterprises, Inc., MLB Advanced Media, L.P., MLB Media Holdings, Inc., MLB Media Holdings, L.P., MLB Online Services, Inc., the Office of the Commissioner of Baseball, or the Major League Baseball Clubs (collectively, including MLB, the “MLB Entities”), ABC, Inc. dba Walt Disney Studios Motion Pictures, Quantum Loyalty Systems, Inc. d/b/a Hollywood Movie Money (“HMM”), ePrize, LLC, or their respective parent, subsidiary, affiliated or related companies, nor a member of the immediate family (spouse, parents, siblings, and children) or household of such employee. Void in Quebec and where prohibited. The Sweepstakes is subject to all applicable federal, state, provincial, territorial and local laws and regulations.


2. Sponsor: ABC, Inc. dba Walt Disney Studios Motion Pictures, 500 South Buena Vista Street, Burbank, CA 91521, U.S.A. Administrators: ePrize, LLC, One ePrize Drive, Pleasant Ridge, MI 48069, U.S.A. and Disney Interactive Media Group, 500 South Buena Vista Street, Burbank, CA 91521, U.S.A.


3.  Agreement to Official Rules: By participating in the Sweepstakes, each entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding in all matters related to the Sweepstakes.


4. Timing: The Sweepstakes begins on April 22, 2009 at 12:00 a.m. Pacific Time ("PT"), and ends on July 14, 2009 at 11:59 p.m. PT (the "Sweepstakes Period"). Disney Interactive Media Group’s computer is the official time keeping device for the Sweepstakes.


5. How to Enter the Sweepstakes: NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCE OF WINNING.


If you are not a Member of the Website, you first must register to become a Member before you may enter the Sweepstakes. If you are not a Member, you may become a member for free by visiting the Website and registering by providing the requested information on the Registration Form through the link on the site: “Not registered?” The Parent/legal guardian (“Parent”) of a child under the age of 13 will be sent an email notifying him/her of the child’s registration and intention to enter the Sweepstakes. No response by the Parent to the email is required for the child to register and/or enter the Sweepstakes; however, if the Parent does not want his/her child to register and enter the Sweepstakes, Parent may click on a link in the email and complete the steps required to cancel the child’s registration, which will also cancel the child’s opportunity to enter the Sweepstakes. Upon becoming a Member by registration, or if you are already a Member, you may enter the Sweepstakes during the Sweepstakes Period only, by logging into the Website with your Member Name and Password and following the “How to Enter” instructions on the entry page. You will be required to watch an audio-visual presentation (approximately 2 minutes and 30 seconds long) about the motion picture “G-Force” before you can enter.


Limit One (1) Entry per Entrant and One (1) prize (“Prize”) per eligible Entry. Multiple entrants are not permitted to share the same email address (“Address”). It is your sole responsibility to notify the Sponsor if you change Address. To do so, go to http://register.go.com/go/memberservices/home, log into your Website account with your Member Name and Password, click on “Modify” and follow the instructions on how to change the Address. Any attempt by you to obtain more than the stated number of Entries by using multiple/different Addresses, identities, registrations and logins, or any other methods will disqualify your Entry. Use of any automated system to enter is prohibited and will result in disqualification. In the event of a dispute as to any Entry, the authorized account holder of the Address used to register on the Website will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an Address by an Internet access provider, online service provider or other organization responsible for assigning Addresses for the domain associated with the submitted Address. The potential winner may be required to show proof of being the authorized account holder.

6.  How to Win: To win the Prize, a grand slam home run (defined as a home run with the bases loaded) must be achieved during the 2009 Major League Baseball™ All-Star Game® (the “All-Star Game®”) on July 14, 2009, as determined by the official scorer of the game. The All-Star Game® date and time are determined in the sole discretion of the Office of the Commissioner of Baseball and/or MLB, as applicable, and are subject to change. If a grand slam home run is achieved during the All-Star Game®, then each eligible entrant will be entitled to redeem one (1) Prize. If a Canadian resident is a potential winner (or parent/legal guardian if winner is a minor in his/her jurisdiction of residence) he/she will be sent an email with a link to a website where he/she will be required to correctly answer a time-limited skill testing question without any assistance in order to be eligible to receive a Prize; but if answered incorrectly, the Prize will be forfeited. Within 3-5 business days after the end of the Sweepstakes Period, all eligible entrants (or parent/legal guardian if the eligible entrant is under 13 years of age) will receive an email with a redeemable code and a link to a website (the “Prize Website”) with instructions on how to redeem the code for a Prize Certificate. In order to receive the Prize, the potential winner must present the Prize Certificate to a Participating Theater listed on the Prize Website and Participating Theaters may only award Prizes in accordance with the conditions set forth on The Prize Certificate. All legal responsibilities under the Official Rules of a winner who is under 13 years of age will be assumed by the such child’s parent or legal guardian, in whose name the Prize will be awarded for the benefit of the child. Odds of winning depend on being among the first one million (1,000,000) eligible entrants and upon the likelihood of the grand slam home run being achieved during the All-Star Game®. If more than one (1) grand slam home run is achieved during the All-Star Game®, no additional Prizes will be awarded. Prize Certificates will only be honored on opening day of the motion picture “G-Force” on July 24, 2009. Potential winner must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements.


7.  Prizes:  ONE MILLION (1,000,000) PRIZES: each Prize will consist of the assignment of one (1) digital code redeemable for one (1) movie ticket to see the motion picture entitled “G-Force”, good only opening day on July 24, 2009 up until the time of the last screening at your Participating Theater, and subject to seating capacity of Participating Theaters. Maximum redemption and approximate retail value of each Prize: $14.00 USD. Approximate Total Retail Value of all Prizes: $14,000,000 USD. Terms and conditions of movie ticket apply. All Prizes will be awarded provided a sufficient number of eligible Entries are received and redeemed. Prize is non-transferable and no substitution will be made except Sponsor reserves the right to substitute for the Prize a prize of equal or greater value if the Prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with Prize receipt and/or use. Sponsor and Administrators are not responsible for complaints or issues regarding codes (claims that code is invalid, insufficient, etc.) and winner should address any such issues with, HMM, the issuer of the code.


8. Release:  By receipt of any prize, winner agrees to release and hold harmless Sponsor, Administrators, HMM, the MLB Entities, and their respective parent, subsidiary, affiliated and related companies, successors and assigns, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each such companies’ shareholders, officers, directors, employees, representatives and agents (collectively, the “Released Parties”) from and against any claims, demands, losses, promises, cause of action and liabilities, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of the preparation for, or participation in, the Sweepstakes or receipt or use or misuse of any prize.


9.  Publicity: Except where prohibited, your entry in the Sweepstakes constitutes your consent to Sponsor’s, the MLB Entities’ and Sponsor’s agents’ use of your name, likeness, photograph, voice, opinions and/or hometown and state or province for promotional purposes in any media, worldwide, without further payment or consideration. For children under thirteen (13), such consent will only be to the extent allowed by COPPA and otherwise allowed by law.


10.  General Conditions:  Except where prohibited by law, Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion, or if the All-Star Game® is not played, or is postponed to a date after July 23, 2009, for any reason. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the Entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.


11. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of Entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. If for any reason your Entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, your sole remedy is another Entry in the Sweepstakes, provided that if it is not possible to award another Entry due to discontinuance of the Sweepstakes, or any part of it, for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible Entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.


12. Disputes:  Except where prohibited, you agree that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the state or federal courts located in Los Angeles County, California, U.S.A.; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or your rights and obligations or those of Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, U.S.A. without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan, U.S.A. or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California, U.S.A.
