  1. SPONSOR: ABC Cable Networks Group, dba Disney Channel, 3800 W. Alameda Avenue, Burbank, CA 91505.


  2. ADMINISTRATOR: Ventura Associates International LLC, One Grand Central Place, 60 East 42nd. Street, Suite 650, New York, NY 10165, an independent judging organization whose decisions are final and binding with respect to DISNEY CHANNEL'S MAKE YOUR MARK: SHAKE IT UP DANCE OFF ("TV Dance-Off Contest" or "Contest").


  3. BRIEF OVERVIEW OF CONTEST: This Contest will be conducted for the six (6) dance acts (each selected previously in the Make Your Mark Online Audition, comprised of one (1) to five (5) dancers and referred to herein as "Contestant" and sometimes referred to as "Finalist") to compete in a televised dance competition currently scheduled to be conducted in Los Angeles, CA on or about October 6, 2012 and which will be televised on or about October 19, 2012 in order to determine the Grand Prize Winner ("Winner") of the Contest through a combination of judging ("Judging Round") and audience voting ("Voting Round").

    For purposes of these official rules ("Rules"), all times and days are Pacific Time. Sponsor's computer is the official time keeping device for this Contest. The dates and times set forth in these Rules are subject to change, and notice of the revised date and/or time will be posted on the Website. The awarding of the prize is subject to the eligibility and forfeiture provisions set forth below.

    For more details on how the six (6) Finalists were chosen previously in said Audition by the producers of this televised dance competition ("Producers"), see details ("Procedures") at www.DisneyChannel.com/DanceOff. The Procedures are incorporated into these Rules by reference.


  4. DETERMINATION OF WINNER: There will be two (2) phases in this Contest - Contestants' performance in front of a panel of judges ("Judging Round") and the public voting ("Voting Round"). The judges will score the Contestants on specific criteria (described below) and narrow the six (6) Finalists down to three (3) top Finalists, at which point the determination of the Winner is solely determined by the public ("Voter") in the Voting Round.

    1. JUDGING ROUND: The six Contestants will perform in front of the audience and a panel of judges ("Judges") to be determined by the Producers in their sole discretion during a TV special ("Ultimate Dance Off") estimated to air on Disney Channel at 8:00 pm ET/7:00 pm CT (see local listings for times in your area), on or about October 19, 2012. Judging will be handled by Judges to assess the six Contestants to score them based on the following criteria: (i) presence and personality, (ii) technique and style, and (iii) originality and creativity (collectively, "Criteria") and using the Criteria to choose the three (3) top Finalists.
    2. VOTING ROUND: The Voting Round will be open beginning immediately after the Ultimate Dance Off ends on or about October 19, 2012 and will continue for at least two (2) hours subject to local time zone restrictions ("Voting Period") and will end no later than 11:30 PM. The general public will be given the opportunity to vote on all eligible Contestants during this Voting Period. Voting is only open to persons located in the 50 United States and DC. The Contestant who receives the highest number of Votes in the Voting Round will be determined as the potential Winner (pending verification). In the event of a tie in the Voting Round, the Contestant that earned the highest score in the Judging Round will be determined the potential Winner (pending verification).

    A Voter can vote in three (3) ways:

    ONLINE VOTING: As a registered member of Disney.com ("Member"), a Voter may vote online by logging on to www.DisneyChannel.com/DANCEOFF during the Voting Period, logging in with Voter's Member Name and Password and following the instructions ("Online Vote"). An Online Voter may select the Contestant for whom he/she wishes to vote. If Online Voter is not a Member, he/she may become a Member for free by visiting the Website and registering by providing the requested information on the Registration Form through the link on the site: "Sign Up." Upon becoming a Member by registration, Online Voter may vote by following the above instructions. Parent or legal guardian ("Parent") of a child under the age of 13 will be sent an email notifying him/her of the child's registration. No response by the Parent to the email is required for the child to vote; however, if the Parent does not want his/her child to vote, Parent may click on a link in the email and complete the steps required to cancel the child's registration and delete the child's information. Online Votes are limited to five (5) per person/email address (regardless of whether one person has more than one email address or more than one person uses the same email address). Any apparent attempt by a Member or individual to circumvent voting limitations will result in disqualification of all votes produced by that Member or individual. Online Voter should not attempt to cast Online Votes outside of the Voting Period. Normal Internet access and usage charges imposed by his/her online service will apply. The Internet browser on Member's computers must allow cookies, have Javascript enabled and have the latest version of Flash installed in order to vote. If cookies and Javascript are disabled and Flash is not installed, Members may be unable to access the online ballot to vote. It is your sole responsibility to notify the Sponsor in writing if you change your email address. To do so, go to http://register.go.com/go/memberservices/home, log into your Website account with your Member Name and Password, click on "Modify" and follow the instructions on how to change the email address.

    SMS TEXT VOTING: Each of the three (3) Contestants will be assigned a text message "keyword" which will appear on screen alongside the short code 347639 (Disney) during the Ultimate Dance Off. Voters may submit a vote by sending the Contestant's keyword as an SMS text message from his/her cell phone ("Cell") to the SMS short code 347639 (Disney) ("SMS Vote"). If voting for the first Contestant, use the keyword "01", if voting for the second Contestant, use the keyword "02", and if voting for the third Contestant, use the keyword "03", SMS Votes are limited to five (5) per person/Cell number (regardless of whether one person has more than one Cell number or more than one person uses the same Cell number). Any apparent attempt by an individual to circumvent voting limitations will result in disqualification of all votes produced by that individual. SMS Voters should not attempt to cast SMS Votes outside of the Voting Period. Message and data rates may apply to each text message sent and received. SMS Voters will receive a confirmation SMS text message on their Cell. All SMS Voters must have a text messaging two-way capable phone and digital and SMS service in order to vote using the text messaging method. Text messaging may not be available in all areas. If SMS Voter is a minor (as defined by his/her state of primary residence, "Minor"), SMS Voter must have the permission of his/her Parent to vote via SMS Vote. By voting via SMS Vote he/she grants to Administrator his/her consent to call his/her Cell should we need to verify vote. To get help with voting by text messaging, send the keyword HELP to 347639.

    TOLLFREE PHONE VOTING: Each of the three (3) Contestants will be assigned a tollfree phone number which will appear on screen alongside their name during the Ultimate Dance Off. Voters may submit a vote by calling the specific phone number assigned to the Contestant ("Tollfree Phone Vote"). If voting for the first Contestant, use the phone number: 1 855 SHAKE 01 / 1 855 742 5301 , if voting for the second Contestant, use the phone number: 1 855 SHAKE 02 / 1 855 742 5302, if voting for the third Contestant, use the phone number: 1 855 SHAKE 03 / 1 855 742 5303. Tollfree Phone Votes are limited to five (5) per person/originating phone number (regardless of whether one person has more than one phone number or more than one person uses the same phone number). Any apparent attempt by an individual to circumvent voting limitations will result in disqualification of all votes produced by that individual. Tollfree Phone Voters should not attempt to cast Tollfree Phone Votes outside of the Voting Period. There is no cost for voting via the toll-free number if you're calling from a landline. If you are calling from a cell phone, airtime and applicable roaming charges will apply. Calls from payphones will be blocked, so to vote, use a standard landline or cell phone instead.

    "Vote" shall mean and refer to each SMS Vote, Tollfree Phone Vote and Online Vote.

    Sponsor and Administrator reserve the right to disqualify any Votes that are cast in violation of these Rules, or are cast to achieve an unfair advantage, or are cast by robotic means of any sort. The Sponsor reserves the right to change the limit on the number of Votes that may be made from each originating Cell, phone number or email address, in the Sponsor's sole discretion.


  5. CONTESTANTS' CONTEST PERFORMANCES: Contestants will perform a total of four (4) dances while in Los Angeles. The first two (2) dances which must be prepared before they arrive in Los Angeles will be performed on the Ultimate Dance Off and will be scored by the Judges and voted on by the public. The third and fourth dances will be performed on the Results Show and will be for entertainment value only and will not be scored by the Judges or voted on by the public.

    Dance #1 and Dance #2: Each dance will use one (1) song from Shake It Up ("Songs") which will be selected by Producers and assigned to each Contestant, and Contestants will be instructed to develop the choreography for and to practice the dances to accompany these Songs ("Dance #1" and "Dance #2"). If one or both of the Songs become unavailable for any reason, a different Song or Songs may be substituted at any point during this period at the discretion of the Producers. Once the Contestants are in Los Angeles, the Producers will select and assign one (1) choreographer to work with the Contestants during this time period to perfect their performances. The choreographers will be as follows: Dance #1 a choreographer employed by Producers (the same individual for all Contestants) will work with the six (6) Contestants as an advisor (not choreographer) ("Dance #1's Choreographer"), and Dance #2 a choreographer chosen by the Producers (the same individual for all Contestants) will work with the six (6) Contestants as a mentor (not choreographer) ("Dance #2 Choreographer").

    Dance #3 and Dance #4: The third dance is a group dance ("Dance #3) performed with Shake It Up talent and choreographed by a choreographer provided by the Producers ("Dance #3 Choreographer) which will not be judged or voted on. Each of the Contestants will be given (and expected to practice) their part (choreography and music) of a Producer-selected song which will be performed during the Results Show. Dance #3 Choreographer will work with each Contestant to perfect Dance #3. Dance #4: Contestants will be asked to prepare for a mash up (cut down version of song #1 and #2). This will feature the choreography from Dance #1 & Dance #2. Dance #3 and Dance #4 are purely for entertainment value and will NOT be judged or voted on.

    Dance #1, Dance #2, Dance #3 and Dance #4 are considered contest materials ("Materials"), and they include: [1] all information and dance/choreography material submitted and performed by each Contestant in connection with the Contest, including any and all other forms, contracts or releases ("Documents") required to be submitted by you as a Contestant, whether required by Sponsor prior to or after Ultimate Dance Off or Results Show (defined below); [2] Contestant's name, likeness, image and biographical data as contained in or reflected by the Documents, and [3] all photographs, writings, statements, dramatic materials, ideas, quotations and any other intellectual properties created by Contestant in connection with the Contest, whether submitted to the Sponsor or not, including the Documents. All material owned by the Sponsor or the Sponsor's affiliated companies, including but not limited to any choreography, music, picture, logo, title art, etc., shall remain their property and Contestant shall acquire no rights therein by virtue of the Contest. Except as specifically provided herein, by entering the Contest, Contestant agrees to grant to Sponsor a non-exclusive, irrevocable, royalty-free, sublicenseable and transferable worldwide license to use, re-use, reproduce, transmit, display, distribute, re-distribute, copy, store, modify, adapt, translate, create derivative works based upon and publicly perform the contents of the Materials, in whole or in part, in all media, formats and channels now known or hereafter devised, for the duration of the rights in each country, area and space, and throughout the universe, in perpetuity and in all languages, formats and versions.


  6. LIMITATIONS: By participating in the Contest as a Contestant and submitting the Materials, Contestants represent and warrant to Sponsor that the Materials and everything depicted therein: [1] are in compliance with the Audition Procedures and the guidelines posted on the Website "Do's and Don'ts" including but not limited to following the entry submission instructions; [2] with the exception of any Song Material provided by Producers, are original with Contestant and do not originate from a magazine, newspaper or other commercial or proprietary source; [3] do not infringe upon or otherwise violate any right of any person, firm or entity; [4] do comply with the Sponsor's Terms of Use, the Procedures and the Rules; [5] do not contain any trademarks, logos, insignia, location signage, photographs, artwork or sculptures or other material (e.g., on props, costumes, background) that would infringe any third party's copyrights or trademarks; [6] have not previously been submitted in a contest of any kind or exhibited or displayed publicly through any means; [7] do not contain material which is objectionable or unlawful as determined by Sponsor in its sole discretion. Contestants further represent and warrant to Sponsor that: [1] Contestants have all rights, licenses, permissions and consents necessary to submit the Materials in accordance with the Rules; [2] no person or entity other than Contestant (including talent representatives) has any right, title or interest in and to any part of the Materials and [3] Contestants are not subject to any agreement or arrangement that would interfere with his/her entering this Contest and granting all the rights granted hereunder or that would conflict with any other documentation required hereunder. Sponsor may, in its sole discretion, disqualify and remove any Contestant that Sponsor deems to be in violation of these Limitations at any time and continue with five (5) or fewer Contestants. In event of a dispute regarding the identity of the person casting a Vote, the Vote will be deemed to be submitted by the person in whose name the Address is registered. Neither the Sponsor, Administrator, Producers, 3ci, Telescope, their respective parents, divisions and subsidiaries, agents, affiliates, nor any of their respective officers, directors, shareholders, employees, agents or representatives (individually and collectively, "Releasees") are responsible for Votes from persons residing, or physically located, outside the Territory; or Votes that are altered, delayed, deleted, destroyed, forged, fraudulent, illegible, improperly accessed, inaccurate, incomplete, interrupted, irregular in any way, late, lost, misrouted, multiple, mutilated, non-delivered, stolen, tampered with, unauthorized, unintelligible or otherwise not in compliance with these Rules; or for lost, interrupted or unavailable network, server or other connections; miscommunications; failed phone (including wireless phones and handsets), cellular equipment towers, telephone systems or wireless services, computer hardware or software or telephone transmissions; technical failures; unauthorized human intervention; traffic congestion; garbled or jumbled transmissions; undeliverable emails resulting from any form of active or passive email filtering; insufficient space in Voter's email account to receive email; or other errors of any kind, whether due to electronic, human, mechanical, printing, production or technical errors or other causes; even if caused by the negligence of any of the Releasees. Each of such potential Votes will be disqualified; and any person who attempts to vote with multiple Addresses or under multiple identities will be disqualified. Sponsor is not obligated to communicate with any Voter or Contestant during the duration of the Contest. Void where prohibited or restricted by law and subject to all applicable federal, state, local and municipal laws and regulations. Please review these Rules and the TOU carefully; however, in the event of a conflict between these Rules and the TOU, these Rules will control.


  7. PRIZE: ONE (1) GRAND PRIZE ("PRIZE"): Winner will receive the opportunity to appear, as determined by Sponsor, as a Featured Spotlight Dancer on an episode of the Disney Channel show "Shake it Up" ("Show") and receive a four (4) day / three (3) night trip for all members of the Winner plus one Parent for each member if Winner consists of more than one person (collectively "Group") to Los Angeles, California ("City"), on Sponsor-selected dates estimated to be (but subject to change) in early November, 2012 ("Trip"), consisting of the following elements for the Group: [1] opportunity for the Winner to appear as a Featured Spotlight Dancer ("Appearance") in an episode of the Show (subject to availability, scheduling and Sponsor's selection and discretion); [2] hotel accommodations (two standard rooms/up to quad occupancy, including room tax) for three (3) nights; [3] hotel/Appearance transfers; [4] if Winner's residence of entry ("Residence") is located more than two hundred fifty (250) miles from the City, round-trip coach air transportation on a Sponsor-selected carrier between a Sponsor-selected major metropolitan airport near the Residence ("airport of origin") and a Sponsor-selected major airport in or near the City; but if the Residence is located two hundred fifty (250) miles or less from the City, round-trip ground transportation via a Sponsor-selected method between the Residence and the hotel and [5] airport/hotel transfers. Approximate Retail Value ("ARV"): $6,800, which will vary depending upon points of departure and destination and seasonal fluctuation of hotel rates and airfares. All expenses not specifically mentioned herein are not included and are solely the winner's responsibility, including but not limited to: round trip transportation between the Residence and any airport of origin, beverages, fax, food, gratuities and tips, insurance, laundry service, merchandise, parking, room service, service charges, souvenirs and telephone calls. Travel and lodging are subject to availability, certain restrictions, blackout dates and Sponsor's approval. Airline carrier and hotel regulations and conditions apply. Winner must take Trip on Sponsor-selected dates on or about early November, 2012, or Prize will be forfeited in its entirety and, at Sponsor's discretion, awarded to an alternate Winner. Appearance must be performed at AFTRA minimum rates and Winner will have to follow all guild requirements in order to fully participate. Travel must be made through Sponsor's agent and Sponsor shall determine airline and flight itinerary in its sole discretion. Releasees are not responsible for airline cancellations or delays. If the actual value of a prize is less than the stated ARV, the difference will not be awarded. Any depiction of prize is for illustrative purposes only. Prize is not redeemable for cash or transferable. No substitution allowed except, at Sponsor's sole discretion, a prize of equal or greater value may be substituted. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers, certificates or prizes. Prize elements may not be separated. Airline tickets issued in conjunction with the Prize are not eligible for frequent flyer miles, and no code share flights may be used. Prize cannot be used in conjunction with any other promotion or offer. Prize will be awarded provided it is validly claimed by 5:00 PM, October 24, 2012 after which no alternate winner will be selected, nor unclaimed prizes awarded.


  8. WINNER ANNOUNCEMENT: The potential Winner will be announced during a TV special ("Results Show") estimated to air on Disney Channel at 8:00 pm ET/7:00 pm CT, on or about October 21, 2012 (see local listings for times in your area). The decisions of the Judges will be final on all matters relating to the Judging Round. The decisions of the Administrator will be final on all matters relating to the Voting Round.


  9. WINNER: The potential Winner will be notified by email and phone on or about October 22, 2012. Since all Contestants will be Minors, the prize will be awarded in the name of the Parent for the benefit of the Minors, and the Parent will be solely responsible on behalf of the Minors for all applicable documentation and taxes. At the sole discretion of the Sponsor, disqualification, forfeiture and the selection of an alternate Winner may result from any of the following, without limitation: [1] the return of any email notification as undeliverable after three (3) attempts; [2] the return of any other notice as undeliverable; [3] failure of any member of the potential Winner to provide Sponsor with satisfactory proof of age, identity and residency; [4] failure of any member of the Winner to execute and return an Affidavit of Eligibility/Liability/Publicity Release/any other documentation (that may be requested by Sponsor) within one (1) day from date of receipt; [5] potential Winner's failure to validly claim the prize by 5:00 PM, October 24, 2012; [6] failure of any member of the potential Winner to be available to make the Trip and [7] any other non-compliance with Rules. The Group must travel together on the same itinerary and they are solely responsible for obtaining all necessary travel documents (i.e. valid photo I.D.) before departure. All members of the Group will be required to execute a Release of Liability prior to ticketing. Winner (and if Winner consists of more than one person, each Minor) must be accompanied on the Trip by a Parent who will be counted as a member of the Group. Any and all federal, state and local taxes that may be incurred as a result of being cast as a Winner are the sole responsibility of each Dancer's Parent who will receive an IRS Form 1099 reflecting the final actual value of his/her share of the prize. Winner must agree to return to City to participate in any and all public relations or marketing efforts ("Public Relations") that may or may not be required by Producers and/or Sponsors. All approved travel expenses and any other compensation which may be due as part of such Public Relations endeavors, for Winner plus adult (for each Minor), will be paid by Sponsor.


  10. RIGHT TO DISQUALIFY: At any time, Judges and Administrator reserve the right in their sole discretion to disqualify and remove any Dancer, Contestant or Winner for any reason, including but not limited to, any Dancer not being able to participate in the TV Dance-Off Contest, their belief that the Materials potentially or actually infringes upon the copyrights, or other rights of any third party, or otherwise does not comply with the TOU, the Audition Procedures or these Rules. In the event that a Dancer, Contestant or Winner is disqualified, any benefits will be forfeited and may (at the Sponsor's sole discretion) be awarded to an alternate Contestant from among the remaining eligible Contestants. If an individual Dancer on a Contestant team is unable to perform, the Dancer may not be substituted. If a single Contestant or Contestant team is unable to perform due to any reason including, but not limited to, injury, the single Contestant or Contestant team will be disqualified and not replaced, and the Contest will take place with five (5) Contestants.


  11. NO OBLIGATION TO USE: Other than to announce the prize winner, Sponsor shall have no obligation (express or implied) to use any Materials, regardless of whether or not a Contestant, or a prize-winning Material, in any advertising, merchandising or promotion or to otherwise distribute, publicize or exploit any Materials, regardless of whether or not a Contestant, or a prize-winning Material, or, if commenced, to continue the distribution, publication or exploitation thereof, and Sponsor may at any time abandon the use of any Materials, regardless of whether or not a Contestant, or a prize-winning Material, for any reason, with or without legal justification or excuse, and neither Entrants, nor Winner shall be entitled to any damages or other relief by reason thereof. Contestants shall have no right to use the Materials or any other content produced in conjunction with this event in any manner whatsoever without Sponsor's prior written approval.


  12. PRIVACY POLICY/DATA COLLECTION: Information provided by you for this Contest is subject to Sponsor's privacy policy located at http://disney.go.com/corporate/privacy/pp_wdig.html


  13. CONDITIONS: By entering this Contest, casting a Vote and/or accepting the Prize, Voters and Contestants agree, that: [1] Voters and Contestants will be bound by the Rules, Terms of Use and Sponsor's decisions, which shall be final in all respects; [2] the Materials/Vote will not be acknowledged or returned; [3] Voters and Contestants release and hold harmless the Releasees from any and all liability for claims, injuries, losses or damages of any kind, including without limitation, death and bodily injury, resulting, in whole or in part, directly or indirectly, from the Materials or Vote, selection or use of the Materials or Vote or from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of the prize; participation in this Contest or in any Contest-related activity or travel or from any interaction with, or downloading of, computer Contest information; [4] the Releasees do not make any representation, warranty or guarantee, express or implied, relating to the Contest, Prize or Voting; [5] Winner's acceptance of the Prize constitutes the grant to Sponsor and assigns of an unconditional right to use each of its Dancer's name, address (city and state only), voice, likeness, photograph, biographical and prize information and/or statements about the Contest for any programming, publicity, advertising and promotional purposes without additional compensation, except where prohibited by law; [6] in the event viruses, bugs, unauthorized human intervention, Acts of God, acts or regulations of any governmental or supra-national authority, war, national emergency, accident, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism or other matters beyond the Sponsor's reasonable control, corrupt, prevent or impair the administration, security, fairness or proper play of the Contest or the Voting, so that it cannot be conducted as originally planned, Sponsor has the right, in its sole discretion, to modify the Rules or to cancel, modify, terminate or suspend the Contest or Voting; and in such event, to select a Winner by such method as Sponsor in its sole discretion shall consider equitable; and in the event the Trip has already commenced, to terminate the Trip and return the Group to any airport of origin as soon as reasonably possible; [7] the Releasees are not responsible for typographical or other errors in the offer or administration of the Contest, including but not limited to: errors in the advertising, Rules, Voting and selection and announcement of the Contestants or the Winner; [8] any portion of the Prize not accepted or used will be forfeited; [9] the Releasees are not responsible for any inability of Winner to accept or use the Prize (or any portion thereof) for any reason; [10] Sponsor has the right to modify Prize award and Voting procedures at its sole discretion; [11] the Sponsor has the right, at any time and at its sole discretion, to disqualify any individual it suspects to be doing any of the following: (a) tampering or attempting to tamper with the entry or Voting process, the operation of the Contest, the Voting or the Website; (b) violating the Rules; (c) violating the terms of service, privacy policy or other terms, conditions of use and/or general rules or guidelines of any Contest property or service; (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person or (e) for any other good cause as determined solely by the Sponsor; [12] Sponsor has the right to lock out and void the Votes of an entrant whose eligibility is in question or who has been disqualified or is otherwise ineligible to enter or cast a Vote in the Contest; [13] since any attempt by any individual to damage the Website or undermine the legitimate operation of this Contest or the Website or tamper with the voting process is a violation of these Rules as well as criminal and civil laws, and should Sponsor believe or become aware that such an attempt has been, is being, or will be made, it has the right to seek remedies and damages from any responsible individuals to the fullest extent permitted by law, including without limitation criminal prosecution; [14] all disputes, claims and causes of action at law or in equity (individually, "Claim") arising out of or relating to this Contest, the meaning or interpretation of the Rules or any prize awarded shall be resolved by applying the laws of California, without regard to conflict of laws provisions therein, and shall be solely and exclusively brought in the state or federal courts within that state; [15] all Claims shall be resolved individually, without resort to any form of class action; [16] all Claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event include attorneys' fees, and under no circumstances will any entrant be permitted to obtain awards for, and hereby waives all rights to claim, punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses and waives all rights to have damages multiplied or otherwise increased; [17] in no event shall a Contestant (or anyone acting on behalf of a Contestant) have the right to enjoin the production, development, distribution and/or exploitation of the Show, Dance Off, Results Show, or any other content which may include Contestant's name or likeness; [18] Sponsor has the right to modify prize award procedures at its sole discretion; [19] in the unlikely event of the cancellation or postponement of the Show and/or Appearance due to circumstances beyond Releasees' reasonable control, the Releasees are not responsible. If such occurs, the Trip will be awarded without that element of the prize; [20] Winner's acceptance of the Prize constitutes the grant of an unconditional right to Sponsor and assigns to photograph, film, or otherwise capture the fulfillment of the Prize, including the Appearance, as well as any behind-the-scenes/blooper footage captured during such period ("Fulfillment Filming"), and Sponsor shall have the unconditional right to reproduce, distribute, display, exhibit, transmit, broadcast, stream, synchronize with visual material, modify, amend, create derivative works, and otherwise use and permit others to use these photographs and footage throughout the universe in any and all media now known or hereafter devised, in all languages and in all versions, in perpetuity, without compensation, except where prohibited by law, and Winner agrees to executed any additional documentation which Sponsor may require to confirm the same; [21] the Administrator reserves the right to review the Online, Tollfree Phone and SMS Votes for accuracy and to take any appropriate action, including without limitation, voiding the Votes cast during the time period in which such technical or reporting difficulties occurred, but is in no way is obligated to do so; [22] Administrator has the right to conduct a background check ("Check") of any and all records of the members of the Winner and the Parent, including without limitation, civil and criminal court records and police reports, which he/she, to the extent necessary under law, shall authorize; [23] Sponsor may take all steps necessary to corroborate any information provided to Sponsor by the members or the Parent, and he/she will be obligated to provide necessary contacts and information for the Check; [24] if a felony conviction is found, Sponsor has the right, in its sole discretion, to disqualify the Winner from participating in the Trip, and to pay the Winner a cash substitute for the Trip, and [25] Voter's/Contestant's Parent is solely responsible for all fees incurred through his/her wireless phone service for text messages associated with participation in this Contest.
